Terms of sale
Version 2.0 · effective
Article 1 — Parties and definitions
These general terms of sale (the "Terms of Sale") are entered into between:
- CODEVIUM SAS, a société par actions simplifiée (simplified joint-stock company) with a share capital of €1,000, registered with the Paris Trade and Companies Register under number 988 166 393, whose registered office is at 60 rue François 1er, 75008 Paris, France, intra-Community VAT number FR32 988166393, which operates the service under the trade name iPand ("iPand" or "we");
- and any legal entity or individual acting for professional purposes who subscribes to a plan (the "Customer").
In the Terms of Sale:
- Service: the iPand online platform, accessible at app.ipand.io, which measures the visibility of a brand in the answers of artificial intelligence assistants and provides analyses, recommendations, Pandi, iPand’s GEO assistant, and access through an MCP server.
- Organization: the Customer’s space within the Service, which groups its brands, its members and its billing.
- Administrator: a member of the Organization who manages the subscription, the members and the billing.
- Brand: a brand, product or establishment tracked in the Service. Each Brand is subject to a separate subscription, to a single Plan.
- Plan: a subscription package — Standard, Premium, Ultimate or Custom — whose content, limits and prices are set out on the Pricing page of the ipand.io website on the date of subscription and, for the Custom Plan, in the accepted quote.
- Engines: the artificial intelligence assistants whose answers the Service collects.
- Period: the length of a billing cycle, monthly or annual, chosen at subscription.
- Customer Data: the information that the Customer and its members enter or upload into the Service (brands, prompts, competitors, tracked pages, tasks, messages to Pandi, etc.), as well as the results produced for it.
Article 2 — Purpose and contractual documents
The Terms of Sale govern the subscription, billing, renewal and termination of subscriptions to the Service.
The contract consists of the following documents, in decreasing order of priority:
- for a Custom Plan, the accepted quote and its limits, which constitute its specific terms (Article 13);
- the Data Processing Agreement, Annex 1 to the Terms of Sale (Data Processing Agreement);
- these Terms of Sale;
- the Terms of Use of the website and the application (Terms of Use) and their appendix, the terms of the MCP server and Pandi;
- the description of the Plan on the Pricing page on the date of subscription.
The Terms of Sale prevail over any document of the Customer, in particular its general terms of purchase, unless otherwise agreed in writing and signed by iPand.
Article 3 — Service reserved for professionals
The Service is sold exclusively to professionals: companies, sole proprietors, agencies, associations and organizations, whatever their country of establishment. It is not offered to consumers.
Declaration of professional use. By ticking, at the time of payment, the box accepting the Terms of Sale, or by accepting a Custom quote, the Customer declares that it is subscribing for the purposes of its professional activity, and not as a consumer or non-professional. This acceptance constitutes acceptance of the Terms of Sale and of their Annex 1. The person subscribing declares that they have the authority to bind the Customer.
As the contract is entered into between professionals, the provisions of the French Consumer Code that protect consumers, in particular the right of withdrawal, do not apply to it.
The intra-Community VAT number is optional at subscription: a professional who does not have one may subscribe. It is then invoiced under the conditions of Article 9.
Article 4 — The Service and the Plans
Plans. The Service is offered in four Plans: Standard, Premium and Ultimate, subscribed online, and Custom, on quote. A Plan covers a single Brand; the Customer takes out as many subscriptions as the number of Brands it tracks. The content of each Plan, its limits and its prices are described on the Pricing page of the ipand.io website, the version of which in force on the date of subscription applies throughout the current Period. iPand keeps a dated history of the versions of the Pricing page.
Engines. The Service collects the answers of six core Engines — ChatGPT, Gemini, Google AI Overviews, Google AI Mode, Perplexity and Microsoft Copilot —, from which the Customer chooses as many Engines as its Plan includes (indicated on the Pricing page). Claude, Mistral and Grok are offered only in the Custom Plan. An Engine may be temporarily unavailable; it is then flagged as such in the application.
Limits. Each Plan sets limits: tracked prompts, tracked competitors, analyzed pages, Engines, questions asked to Pandi and contents drafted by Pandi each month, MCP server requests each month and, for the Custom Plan, tracked markets. Monthly limits are reset at the start of each billing month. The limits are enforced by the Service: beyond a limit, the addition or the request is refused, until the reset or until a change of Plan. No overage is invoiced.
The number of answers analyzed per month indicated on the Pricing page is an estimate of the measurement volume, and neither a cap nor a volume commitment.
The Service measures answers produced by third-party services that iPand does not control. The nature and limits of the indicators, as well as the Service’s dependence on its suppliers, are described in Article 17.
Article 5 — Account and Organization
Subscription requires the creation of a user account, under the conditions of the Terms of Use. The person who creates the first Brand becomes Administrator of the Organization. Only an Administrator may add a Brand, change Plan, manage the payment methods, accept a quote and terminate.
The number of members invited to an Organization is not limited. The Customer is responsible for the access it grants and for the use of the Service by its members.
Article 6 — Subscription and formation of the contract
Subscription to a Standard, Premium or Ultimate Plan takes place online from the application: choice of the Plan and the Period, then payment on the secure page of our payment service provider, Stripe Payments Europe, Ltd. The Customer provides there its name or company name, its billing address and, if it has one, its VAT number.
The contract is formed upon validation of the payment or, during the trial, upon registration of the payment method, after acceptance of the Terms of Sale through the box provided for that purpose. A confirmation email is sent to the person who subscribed. The Custom Plan follows Article 13.
iPand may refuse a subscription for a legitimate reason, in particular in the event of abusive use of trials, prior payment default or a disposable email address.
Article 7 — Free trial
Each Organization may benefit only once from a free trial whose length is indicated on the Pricing page (7 days on the date of these Terms of Sale). The trial gives access to the chosen Plan and its limits; during the trial, Pandi’s monthly questions and contents are limited to 10% of those of the Plan, rounded up to the next whole number. Creating several accounts or several Organizations for the same Customer in order to obtain several trials constitutes abusive use within the meaning of Article 6.
The trial requires the registration of a payment method. No amount is charged during the trial. A reminder is sent by email to the Administrators before the end of the trial, stating the date on which paid service begins.
Unless terminated before the end of the trial, the subscription continues automatically at its end: the first Period begins and its price is charged.
A Brand added during the Organization’s trial ends its trial on the same date as the Organization’s trial; a Brand added afterwards has no trial. Deleting a Brand during the trial ends its subscription immediately, without any charge.
Article 8 — Prices
The prices of the Standard, Premium and Ultimate Plans are those on the Pricing page on the date of subscription. They are expressed in euros, exclusive of taxes, per Brand, for a monthly or annual Period; the annual price is payable in advance for twelve months. The conditions specific to the annual Period are set out on the Pricing page. The price of the Custom Plan is that of the quote (Article 13).
A Customer established outside the euro area may be offered by Stripe to pay in its own currency. The amount in that currency, calculated by Stripe from the price in euros and including the conversion fees, is shown to the Customer before payment; these fees are borne by the Customer. The contractual price remains expressed in euros.
Price changes. iPand may change its prices. A new price applies to a current subscription only from its renewal, after the Customer has been informed by email at least 30 days in advance, whatever the Period; a Customer who refuses it may terminate before that date (Article 14).
Article 9 — Taxes
Taxes are added to the price exclusive of taxes according to the Customer’s place of establishment. They are calculated by Stripe Tax from the billing address and the tax number provided:
- Customer established in France: French VAT at the applicable rate (20% on the date of these Terms of Sale).
- Customer established in another Member State of the European Union, with an intra-Community VAT number: invoiced exclusive of taxes; VAT is payable by the Customer (reverse charge, Article 196 of Directive 2006/112/EC).
- Customer established in another Member State, without a VAT number: French VAT as long as the annual amount of services of this kind supplied by iPand to customers without a VAT number established in other Member States does not exceed the €10,000 threshold set by Directive 2006/112/EC; above it, VAT of the Customer’s Member State, declared through the One-Stop Shop (OSS).
- Customer established outside the European Union: invoiced without French VAT; any taxes due in the Customer’s country are borne by the Customer, unless the law requires iPand to collect them.
The Customer warrants the accuracy of its address and the validity of its tax number; it bears the tax consequences of any inaccurate information.
Article 10 — Payment and invoicing
Payment is made by bank card or by Link, Stripe’s payment service; a Custom contract may provide for payment by bank transfer (Article 13). Payment data are processed by Stripe; iPand does not receive them.
The price of each Period is due upon issuance of the invoice, at the start of the Period, and charged automatically to the registered payment method, except for an invoice payable by bank transfer under a Custom contract. No discount is granted for early payment.
Invoices are issued in electronic form, sent by email to the billing address and available from the billing area (Settings › Subscription › billing portal). The Customer accepts electronic invoicing.
Article 11 — Late payment and payment default
If a charge fails, the Administrators are informed by email and the payment is automatically retried for about two weeks. The Customer may settle at any time from the billing portal. From the first failure until payment, Pandi is no longer available for the Brand concerned.
If payment has not succeeded 7 days after the first failure or after the due date of the invoice, the daily collection of the Brand concerned is suspended; data and settings are retained and collection resumes after payment. If payment does not succeed after the further attempts, the subscription moves to unpaid status: collection and Pandi remain suspended for the Brand until payment is made. iPand may terminate the subscription 30 days after a formal notice that has remained without effect.
Any sum unpaid when due automatically bears, without reminder, late payment penalties at the interest rate applied by the European Central Bank to its most recent refinancing operation, plus 10 percentage points, as well as a fixed indemnity for recovery costs of €40 (Articles L441-10 and D441-5 of the French Commercial Code), without prejudice to additional compensation, upon proof, where the recovery costs incurred exceed that amount.
Article 12 — Change of Plan or Period
The Administrator may change Plan from the application (Settings › Subscription).
- Upgrade (for example from Standard to Premium or to Ultimate): it applies immediately. The price difference for the remainder of the current Period is calculated pro rata and invoiced at once. During the trial, nothing is invoiced before the end of the trial. If payment is declined, the upgrade is applied only after payment. The Brand’s Engines that the new Plan allows are kept and supplemented up to the number of Engines of that Plan.
- Downgrade: it takes effect at the end of the current Period, without refund; it may be canceled until that date. On the effective date, the limits of the new Plan apply: prompts beyond the limit are archived with their history, excess competitors are no longer tracked as competitors and Engines that are not part of the new Plan are no longer collected (their history is retained).
- Switch from the monthly Period to the annual Period: immediate, pro rata.
- Switch from the annual Period to the monthly Period, on the same Plan: it cannot be made from the application; it takes effect at the end of the annual Period, upon request by the Customer sent to contact@ipand.io before that date.
Switching to the Custom Plan is subject to a quote (Article 13).
Article 13 — Custom Plan
The Custom Plan is intended for a Customer who wishes, for a Brand, higher limits, other Engines (Claude, Mistral, Grok) or other payment terms. The following provisions apply to it, in addition to the other articles of the Terms of Sale.
- Formation of the contract. The Custom Plan is subject to a quote valid for 30 days. The contract is formed by its acceptance in the application by an administrator of the customer organization, or by the signed quote returned to CODEVIUM; electronic acceptance is timestamped and identifies the person who accepts (evidence agreement, Articles 1366 and 1367 of the French Civil Code). The quote and its limits constitute the specific terms; they take precedence over the general terms.
- Term and renewal. The contract runs by monthly or annual period from its activation and is tacitly renewed, unless an end date is set in the quote. Termination by the Customer at the end of the current period, in writing (contact@ipand.io), with 30 days’ notice for an annual period; a monthly period may be terminated until the day before its end date. Termination is not offered in the payment portal.
- Price. Price of the period exclusive of taxes, in euros or in dollars, plus VAT at the applicable rate (20% for a Customer established in France; reverse charge for a taxable Customer from another Member State who provides its VAT number). Revision of the price or of the limits by amendment, or at renewal after the Customer has been informed at least 30 days in advance; a Customer who refuses it may terminate under the conditions of point 2.
- Invoicing and payment. As set out in the quote: card charge at the start of each period, or invoice payable within 30 days by bank transfer to the account indicated on the invoice. Any late payment automatically gives rise to penalties at the rate provided for in Article L441-10 of the French Commercial Code and to the fixed indemnity of €40 for recovery costs; after 7 days of delay, daily collection is suspended until payment, the data being retained.
- Change of plan and amendment. A new accepted quote replaces the current subscription or contract upon its activation; the unused portion of the paid period is credited against the following invoices. This credit is not refundable in cash, except at the end of the relationship. It is held in the currency of the previous subscription: a quote in another currency therefore cannot be accepted while a paid subscription is running.
- Usage limits. The quote sets the limits (tracked prompts, markets, competitors, analyzed pages, assistant questions and contents, MCP requests); beyond them, additions are refused, with no overage invoiced. The number of answers per month is indicative (it depends on the availability of the third-party engines); the unavailability of a third-party engine gives no right to any price reduction (Article 17).
- Results. iPand measures the visibility of a brand in third-party AI answers and offers recommendations; no visibility result is guaranteed.
- Data. At the end of the contract, the Brand’s data are retained, returned and deleted under the conditions of Article 15: downloadable archive before deletion, purge 12 months after the end; the privacy policy applies.
- Identification of the provider. CODEVIUM SAS, a société par actions simplifiée (simplified joint-stock company) with a share capital of €1,000, RCS Paris 988 166 393, 60 rue François 1er, 75008 Paris, intra-Community VAT FR32 988166393 (already in the footer of the quote).
Article 14 — Term, renewal and termination
Term. The subscription is entered into for the chosen Period, with no minimum term beyond that Period. It renews tacitly for an identical Period at each end date.
Termination by the Customer. The Administrator may terminate a Standard, Premium or Ultimate subscription at any time from the billing portal. Termination takes effect at the end of the current Period: the Service remains accessible until that date and no refund, even partial, is due for the current Period. Termination during the trial takes effect at the end of the trial, without any charge. Termination of a Custom contract follows Article 13.
Deletion of a Brand. Deleting a Brand immediately stops its collection and hides it; its subscription ends at the end date without renewal (immediately during the trial), and its data are erased from the database within 30 days, then from backups and archives within 90 days at most.
Termination for breach. In the event of a serious breach by either party of its obligations, the other party may terminate the subscription automatically 15 days after a formal notice that has remained without effect, without prejudice to damages. Payment default is governed by Article 11. iPand may immediately suspend access in the event of fraudulent use, a breach of the security of the Service or a serious violation of the Terms of Use.
Discontinuation of the Service. iPand may discontinue all or part of the Service subject to three months’ notice, sent by email to the Administrators; the portion of the Period already paid and not served is then refunded pro rata.
Article 15 — Effects of the end of the subscription
At the end of a Brand’s subscription:
- daily collection stops, Pandi is no longer available for that Brand and no item subject to the limits of a Plan (prompts, competitors, pages, Engines, markets) can be added to it any longer;
- the Brand’s data already collected remain viewable in the Service by the members of the Organization who have access to it, until their deletion;
- they are permanently deleted 12 months after the end of the Brand’s last subscription, during the monthly processing that follows that date, then erased from backups and archives within 90 days at most.
Before such deletion, an Administrator may download an archive of the Organization’s data (Settings › Organization: organization, members, brands, prompts, preview of answers, pages and technical criteria, activity log), available for 24 hours after it is prepared. This is the means of returning the Customer Data.
A Customer who wishes to resume the subscription of a Brand whose subscription has ended sends a request to contact@ipand.io.
Invoices and accounting records are kept for ten years (Article L123-22 of the French Commercial Code), at Stripe and in the accounts of CODEVIUM SAS.
Article 16 — Customer’s obligations
The Customer undertakes to:
- provide accurate and up-to-date information, in particular billing information;
- use the Service only for its own brands, or for those of its clients with their consent;
- comply with the Terms of Use, in particular the prohibition on large-scale data extraction, reselling access to the Service or circumventing the limits of its Plan;
- not enter personal data in prompts, entity names, tasks or messages to Pandi, unless necessary, as these texts are transmitted to third-party Engines and service providers;
- keep its members’ access credentials confidential and remove the access of persons leaving its organization.
Article 17 — Nature of the indicators, third-party services and dependence on suppliers
Nature of the indicators
The answers of artificial intelligence assistants vary from one day, one Engine and one market to another. The Service’s indicators are trends established on a sample of answers: they constitute neither an exact measurement nor a guarantee of citation, position or commercial result. The recommendations and Pandi’s answers are partly generated by artificial intelligence and may contain errors: the Customer remains the sole judge of the decisions it makes.
Third-party services and dependence on suppliers
The Service relies on third-party services that iPand does not control: the Engines measured, the collection providers, the artificial intelligence model providers, and the hosting, payment and email service providers. Any of them may, through no fault of iPand, become unavailable, change its answers, restrict or change its access, or change its terms. iPand is not liable for such changes.
A day without collection from an Engine, whatever the cause, gives rise to neither a refund, nor a price reduction, nor compensation. iPand may replace one collection method with another (another provider or another means of access to the same Engine) without this amending the contract.
If an Engine included in the Customer’s Plan permanently ceases to be measured, iPand informs the Administrators by email. The Customer may then terminate the subscription of the Brand concerned free of charge; the portion of the annual Period paid and not served is refunded to it pro rata.
Article 18 — Availability and support
iPand uses reasonable means to ensure continuous access to the Service, without any guarantee of permanent availability and without any quantified service level commitment. Maintenance operations are, as far as possible, carried out outside business hours and announced in advance. An availability commitment may be agreed in the quote of a Custom Plan.
Support is provided by email at contact@ipand.io and through the application’s feedback form, on business days.
Article 19 — Liability
iPand is bound by an obligation of means (best-efforts obligation). Its liability may be incurred only for direct, foreseeable and proven damage resulting from a breach of its obligations.
It is limited, for all losses and all Brands combined, to the amount exclusive of taxes paid by the Customer in respect of the twelve months preceding the event giving rise to liability.
Indirect damage is excluded, in particular loss of revenue, of customers, of data attributable to the Customer or of reputation, as well as the consequences of decisions made by the Customer on the basis of the indicators, the recommendations or Pandi’s answers.
These limitations do not apply in the event of gross negligence or willful misconduct, nor to personal injury.
Article 20 — Intellectual property
The Service, its software, its calculation methods, its reference frameworks and its content remain the exclusive property of CODEVIUM SAS. The Customer receives, for the duration of the subscription and worldwide, a personal, non-exclusive and non-transferable right to use the Service, limited to the needs of its business and those of its members.
The Customer Data remain the Customer’s property. The Customer grants iPand the right to host, process and reproduce them solely to the extent necessary to provide the Service. The exports, reports, recommendations and contents drafted by Pandi for the Customer may be freely used by it in its business.
The answers collected from the Engines are third-party content: the Customer uses them within the limits of applicable law, in particular for purposes of analysis and quotation.
Suggestions made by the Customer about the Service may be freely used by iPand.
Article 21 — Personal data
Each party complies with the applicable data protection regulations, including Regulation (EU) 2016/679 (the "GDPR").
- For the data of its users necessary for account management, security, billing, proof of acceptances, measurement of the use of the Service and the business relationship, iPand acts as controller; this processing is described in the privacy policy.
- For the personal data contained in the Customer Data and processed on its behalf (invited members, content entered, conversations with Pandi), iPand acts as processor within the meaning of Article 28 of the GDPR, under the conditions of the Data Processing Agreement, Annex 1 to the Terms of Sale, which forms an integral part of them and is accepted together with them.
For any question about personal data: contact@ipand.io.
Article 22 — Confidentiality
Each party keeps confidential the non-public information of the other party of which it becomes aware in connection with the contract, uses it only to perform the contract and discloses it only to those of its employees, service providers and advisers who need it and are bound by an equivalent obligation. This obligation lasts for the duration of the contract and for three years after its end.
Article 23 — Subcontracting and assignment
iPand may use service providers to perform the Service; those that process personal data appear in the list of subprocessors, provided on request at contact@ipand.io, and changes to them follow Annex 1. iPand may assign the contract to a company that takes over all or part of its business, after informing the Customer. The Customer may not assign the contract without iPand’s written consent.
Article 24 — Force majeure
Neither party is liable for a failure due to force majeure within the meaning of Article 1218 of the French Civil Code. If the impediment lasts more than 30 days, either party may terminate the subscription without compensation; the portion of the annual Period paid and not served is refunded.
Article 25 — Amendment of the Terms of Sale
iPand may amend the Terms of Sale. The amended Terms of Sale are notified to the Customer by email at least 30 days before they come into force and apply to subscriptions current on that date; a Customer who refuses them may terminate before that date. An amendment required by law or by the security of the Service may apply without delay. The version in force is published on the website with its number and its effective date.
Article 26 — Evidence
Acceptance of the Terms of Sale is recorded by iPand with the version number accepted, the time of acceptance and the person who gave it (account identity, name and email address), as well as the Organization and the Brand concerned: at payment, from the box ticked on the payment page, which Stripe also records with the payment session; for a Custom quote, upon its acceptance in the application or upon the recording of its signature. These records are kept for the duration of the contractual relationship, then for five years after its end.
The records of iPand’s and Stripe’s systems (acceptances, payments, invoices, logins) constitute evidence between the parties, unless proven otherwise.
Article 27 — Miscellaneous
A party’s failure to invoke a breach does not constitute a waiver. The invalidity of a clause does not affect the others.
This text is written in French. Its translations are provided for information only; in the event of any discrepancy, the French version prevails.
Article 28 — Governing law and jurisdiction
The Terms of Sale are governed by French law, whatever the Customer’s country of establishment; the United Nations Convention on Contracts for the International Sale of Goods (Vienna Convention) is excluded.
In the event of a dispute, the parties shall first seek an amicable solution. Failing that, where the Customer is a merchant (commerçant), exclusive jurisdiction is conferred on the courts of Paris, including in the event of multiple defendants or third-party claims. In all other cases, the competent court is determined according to the ordinary rules of jurisdiction.
Annex 1 — Data Processing Agreement
The Data Processing Agreement forms an integral part of the Terms of Sale: see the Data Processing Agreement. The list of subprocessors is provided on request at contact@ipand.io (Annex 1, Annex C).
